littleMUCHO services (“Services”) are either a one-time payment or month-to-month services with no ongoing obligation, following the initial 180 days of engagement.
Changes or Cancellation
Following the initial 180 day term, as a professional courtesy, if the client wants to change or cancel their Services, client shall have the right to change or cancel their Services by providing littleMUCHO notice of cancellation via e-mail at least 30 days prior to cancellation or change in services. This allows us to cancel your recurring invoice and allocate our team resources to best serve our clients.

This allows us to cancel your recurring invoice and allocate our team resources to best serve our clients.
Confidentiality
littleMUCHO acknowledges the trust and confidence required in providing access to client information systems. This information will be considered private and confidential. We safeguard clients' private information which is only accessible to approved littleMUCHO team members. Two-factor authentication is enabled when available and password management along with device access is logged for additional security.
Ownership of Work Product
Client shall own the work produced under the scope of the engagement. This shall include without limitation, any designs, layouts, photo and video assets. Client grants littleMUCHO a non-exclusive license to use this work product for its own marketing purposes in perpetuity.
Limits of Liability
Client agrees to limit the liability of services performed by littleMUCHO to be equal to the amount of the services paid by the client except for instances of gross negligence, fraud, willful injury to persons or property, or violations of law. Client agrees to hold littleMUCHO harmless from liability, including claims of infringement, resulting from littleMUCHO’s use of information, data, or images given to littleMUCHO Projects by Client for which Client does not own the copyright or other appropriate intellectual property rights. This shall survive the termination of this Agreement.
Non-Solicitation
Client agrees not to in any way, directly or indirectly, solicit, by-pass, compete, avoid, circumvent, or attempt to circumvent littleMUCHO relative to the Services, the Project and any other service or material provider introduced to CLIENT by littleMUCHO for purposes of completing the Project. Furthermore, for a period of (1) one year following the termination of this Agreement, CLIENT will not, directly or indirectly: (i) solicit for hire or engagement of any service or material provider introduced to CLIENT by littleMUCHO for purposes of undertaking any project similar to the Project; or (ii) persuade any service or material provider introduced to CLIENT by littleMUCHO to terminate its business relationship with littleMUCHO or any other client or prospective client of littleMUCHO.
Client Acknowledgement
CLIENT hereby acknowledges the following with respect to the Services provided by littleMUCHO under this Agreement:
All fees are non-refundable. CLIENT agrees to pay a one-time restart fee of [$1000] if the Project is stalled, paused or suspended for more than sixty (45) days due to CLIENT’s non-responsiveness, instruction or order.
Payment Schedule
The scope of services are ongoing.
Upon signing this statement of work, client shall pay an initial fee for the first month of work. After the initial retainer, each monthly payment shall be paid on the first of the month. Payment shall be made via Automatic Clearing House (“ACH”), Zelle, or Paypal.

Ongoing Engagement
After 180 days, this agreement will automatically renew for 30 day periods, unless client provides prior notice to cancel according to the changes or cancellation section, and Client will continue paying littleMUCHO agreed upon fee per month.
Professional Service
Work outside the agreed upon Scope of Work will be billed at $100.00/hour. Prior to any additional work that may require fees beyond the agreed upon scope, Client’s prior approval is required.

Travel Expenses
Any reimbursable expense in excess of [$200] will be subject to client’s prior written approval. The Client will reimburse for expenses within ten (15) business days of receipt of itemized expenses and accompanied by appropriate supporting documents. Reimbursable expenses will be billed at cost plus 10%.
In the event a payment is not received from CLIENT within (30) thirty days of the due date, a late fee of 5% of the amount due and owing, or $100.00, whichever is greater, will be assessed for the purpose of defraying the expense incident to handling such delinquent payment.
The parties have agreed to all of the terms and conditions of this Proposal effective as of the last date of signature below, and each signatory represents that it has the full authority to enter into this Agreement, which includes the above Proposal and the Terms and Conditions below, and to bind her/his respective party to all of the terms and conditions herein.
